These Terms of Service ("Terms") govern your use of the ChatXport software ("Software") provided by The Baobab Collective Ltd ("Company", "we", "us", or "our"), a company registered in Kenya.
By purchasing or using ChatXport, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.
1. License Grant
Upon purchase or registration, we grant you a limited, non-exclusive, non-transferable, perpetual license to use the ChatXport desktop application on devices you own or control for personal or internal business purposes.
This license permits you to:
- Access and use the Software on devices you own or control
- Use the Software to view, search, and export chat archive files
- Use the free tier with a 300-message limit without purchase
2. License Restrictions
You may not:
- Redistribute, sell, lease, sublicense, or transfer the Software to third parties
- Modify, reverse engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices, labels, or marks on the Software
- Use the Software for any unlawful purpose or in violation of any applicable laws
- Use the Software to process data you do not have the legal right to access
- Share, publish, or distribute your license key
3. Ownership
The Software is licensed, not sold. The Company retains all right, title, and interest in and to the Software, including all intellectual property rights. These Terms do not grant you any rights to the Company's trademarks, service marks, or logos.
4. Payment and Pricing
ChatXport is available in the following tiers:
- Free: Limited to 300 messages per chat. No purchase required.
- Personal ($29): One-time purchase. Unlimited messages for personal use.
- Pro ($69): One-time purchase. Unlimited messages with advanced features for professional use.
All prices are in US Dollars unless otherwise stated. Prices may change, but any change will not affect licenses already purchased.
Payment is processed through Gumroad. By making a purchase, you also agree to the terms of service of Gumroad.
5. Refund Policy
We offer a 14-day money-back guarantee on all paid licenses. If you are not satisfied for any reason, contact us within 14 days of purchase and we will issue a full refund. No reason is required. Please see our Refund Policy for complete details.
6. Updates, Bug Fixes, and Support
Your purchase includes the following, at no additional cost, for as long as the Software is maintained:
- Bug fixes: if we ship a version with a defect, we will release a fix for all paying customers.
- Security updates: patches for security issues in the Software or its dependencies.
- Compatibility updates: updates to maintain functionality when Windows versions or chat export formats change.
Your purchase also includes one year of priority support from the date of purchase. Priority support means a guaranteed response within one business day for help with setup, activation, file parsing issues, export problems, and general troubleshooting.
After the first year, priority support can be renewed for $20/year. This renewal is optional. Without it, the Software continues to work exactly as before, and we still respond to support requests on a best-effort basis. Bug fixes, security updates, and compatibility updates remain available to all paying customers regardless of support status.
7. Privacy and Data Processing
ChatXport is designed to operate on your device. The Software does not transmit your chat data, messages, or personal information to our servers or any third party. All chat processing occurs locally on your device.
The Software stores data locally on your computer (bookmarks, notes, workspace structures, and cached copies of saved ZIP files) inside the application data folder. This data never leaves your device and can be deleted by you at any time.
The Software makes a network request to Gumroad's API at the time of license activation, and periodically thereafter (approximately every 30 days when the app is opened), to verify the purchase has not been refunded. This request contains only the license key.

8. Your Responsibilities
You are solely responsible for:
- Maintaining backups of your files and data before and during use of the Software
- Ensuring you have the legal right to access and process any data you use with the Software
- Complying with all applicable laws regarding the data you process
- Maintaining the security of your license key and not sharing it with others
The Company is not responsible for any data loss. We strongly recommend keeping original copies of your chat export files in a safe location.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Software will meet your requirements, operate without interruption, or be error-free. We do not warrant the accuracy or completeness of any information processed by the Software.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Software or violation of these Terms.
12. Third-Party Services
ChatXport is designed to work with chat export files from messaging applications. We are not affiliated with, endorsed by, or associated with WhatsApp LLC or Meta Platforms, Inc. "WhatsApp" is a registered trademark of WhatsApp LLC. ChatXport does not access WhatsApp servers, accounts, or services and operates only on files exported by the user.
ChatXport is distributed through the Microsoft Store. Your use of the Microsoft Store is subject to Microsoft's own terms and policies.
Your use of WhatsApp and creation of chat exports is subject to WhatsApp's own terms of service.
13. Termination
We may terminate or suspend your license immediately, without prior notice, if you breach these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Software after such changes constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company regarding the Software and supersede all prior agreements and understandings.
